• "Services" refers to data science, machine learning, and related consulting services provided by the Company
• "Client" refers to the person or organisation engaging our Services
• "Website" refers to helixbyte.com and associated web properties
• "Content" refers to all materials on our Website including text, images, and code

2. Acceptance of Terms

By using our Website or Services, you confirm that you:

• Are at least 18 years of age
• Have the authority to enter into this agreement
• Accept all terms and conditions outlined herein
• Will comply with all applicable laws and regulations

3. Service Description

Helixbyte provides the following core services:

• AI for Biotech & Life Sciences — Machine learning models for pharmaceutical and biotech applications
• Clustering & Segmentation — Data analysis and customer segmentation services
• AI Technical Due Diligence — Technology assessments for investment and acquisition contexts

Services are provided on a project basis with timelines and scope defined in individual project agreements.

4. Eligibility & Account Responsibility

You represent and warrant that you are authorised to engage our Services on behalf of your organisation. If you create any account or provide information, you agree to:

• Maintain accurate and current information
• Protect your account credentials
• Notify us immediately of any unauthorised access
• Accept responsibility for all activities on your account

5. User Conduct

When using our Services, you agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or discriminatory content
• Attempt to breach our security or systems
• Engage in fraudulent or deceptive behaviour
• Use our Services to develop competing services

6. Intellectual Property

All content on our Website, including text, images, code, and design, is owned by or licensed to Helixbyte. You may not reproduce, modify, or distribute our Content without written permission.

When we create custom deliverables (models, analysis, reports) as part of a Service engagement, ownership rights are defined in the project agreement. Typically, the Client retains ownership of results with the Company retaining rights to underlying methodologies and processes.

7. Payment & Pricing

Service pricing is provided in quotes or agreements. Unless otherwise specified:

• Payment terms are Net 30 days from invoice date
• Pricing is in Hong Kong Dollar (HKD) or as specified
• The Company reserves the right to adjust pricing for extended engagements or scope changes
• Late payments may incur interest at 1.5% per month

8. Service Delivery & Timeline

Project timelines are estimates provided in good faith. The Company will make reasonable efforts to meet agreed deadlines, but timeline delays may occur due to:

• Unforeseen technical challenges
• Data quality or availability issues
• Client-side delays in providing information
• Circumstances beyond the Company's reasonable control

We will communicate timeline changes promptly and collaboratively adjust scope or schedules as needed.

9. Disclaimer of Warranties

Our Services and Website are provided "as is" without warranties of any kind, express or implied. The Company does not warrant that:

• Services will meet all of your specific requirements
• Results will be error-free or uninterrupted
• All defects will be corrected
• Specific business outcomes will be achieved

Machine learning models are inherently probabilistic and may contain limitations or errors. The Company provides recommendations but does not guarantee specific results.

10. Limitation of Liability

To the maximum extent permitted by law, the Company's total liability arising from any claim related to these Terms or our Services shall not exceed the fees paid by the Client in the twelve months preceding the claim.

In no event shall the Company be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if advised of such damages.

11. Indemnification

You agree to indemnify and hold harmless the Company, its officers, employees, and agents from any claims, damages, or losses arising from:

• Your breach of these Terms
• Your use of our Services in violation of applicable law
• Your violation of third-party intellectual property rights
• Content or data you provide to the Company

12. Confidentiality

The Company maintains strict confidentiality regarding Client data and project information. Information is protected through:

• Confidentiality agreements with all staff and contractors
• Secure data handling and storage practices
• Limited access to sensitive information on a need-to-know basis

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

13. Termination

Either party may terminate a service engagement with written notice as defined in the project agreement. Upon termination:

• All obligations cease except those that survive termination by their nature
• The Client remains responsible for fees accrued through the termination date
• The Company will provide work completed to date
• Confidentiality obligations remain in force

14. Governing Law

These Terms are governed by the laws of Hong Kong, without regard to its conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of Hong Kong courts.

15. Changes to Terms

The Company reserves the right to modify these Terms at any time. Material changes will be communicated to existing Clients. Continued use of our Website or Services following notification constitutes acceptance of modified Terms.
